Parody Box provides its services and offerings (the “Parody Box, My-Lan” as further described below) to you subject to the following Terms of Service (“TOS”). In addition, when using the Parody Box, you shall be subject to any posted guidelines and rules applicable to such service, which may be posted and updated from time to time. By accessing or using the Parody Box, you (“You” or “Your” as applicable) are bound by the notices, terms and conditions in these TOS and, as applicable, elsewhere on www. If You register on behalf of a business, You represent to My-Lan that You have the authority to bind that business and Your acceptance of these TOS will be treated as acceptance by that business. In that event, You and Your in these TOS will refer to that business. If You do not agree to any of these terms and conditions, You may not use Parody Box. Acceptance of Terms My-Lan provides services to you subject to the following Terms of Service (“TOS”), which My-Lan reserves the right to change at anytime without notice to you. Any changes must be adhered to. By accessing and using My-Lan or any of My-Lan’s services, you accept and agree to be bound by these terms and provisions. Eligibility for Parody Box Services Our Services are available only to individuals and business entities (including but not limited to sole proprietorships) in good legal standing that can form legally binding contracts and are entitled to subscribe to and access our services under applicable law. Customer hereby represents and warrants that it is duly licensed to do business and is in good legal standing in the jurisdictions in which it does business (during the term of this Agreement) that it is not a competitor of My-Lan and any of it services, and that the person agreeing to this Agreement for Customer is at least eighteen years of age and otherwise capable of and authorized to enter binding contracts for Customer. User Submissions Parody Box allows its users to submit video or other material and the hosting, sharing, and/or publishing of such submissions. You shall be solely responsible for your own submissions and the consequences of posting or publishing them. In connection with your submissions, you affirm/warrant that: -you own or have the necessary licenses, rights, consents, and permissions to use and authorize My-Lan to use all patent, trademark, trade secret, copyright or other proprietary rights in and to all submissions to enable inclusion and use of the submissions in the manner contemplated by these terms of service; and you have the written consent, release, and/or permission of each and every identifiable person in the submission to use the name or likeness of each individual for use in your submissions in the manner contemplated by these terms of service. You retain all of your ownership rights in your submissions. However, by submitting the material to Parody Box, you grant a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the submission in connection with the Parody Box website and business. The license granted by you terminates once you delete the submission from the Parody Box website. You further agree that you will not:
My-Lan does not endorse any user submission, and expressly disclaims any and all liability in connection with user submissions. My-Lan does not permit copyright infringing activities or infringement of intellectual property rights on its website, and will promptly and without prior notice remove all content and user submissions if properly notified of infringements on third party's intellectual property rights. No Endorsement; Availability; Monitoring You understand that You will be exposed to User Material and Content from a variety of users. You acknowledge that My-Lan does not endorse, evaluate or guarantee any User and Content and You may not state or imply any such endorsement, evaluation or guarantee. My-Lan is not responsible for the accuracy, usefulness, safety, or intellectual property rights of User Material or Content. My-Lan does not guarantee that any User and Content will be made available on the My-Lan Service, whether continuously or at all. My-Lan does not assume any responsibility or liability for any User and Content and You agree to waive any legal or equitable rights or remedies You may have against My-Lan regarding such User and Content. You acknowledge that You have no expectation of privacy or confidentiality with respect to Your User and Content. My-Lan shall have no obligation to monitor any User and Content. However, My-Lan and its agents shall have and do reserve the right to monitor any User and Content from time to time for any lawful purpose. My-Lan may, without notice to You, remove or block any User and Content from the My-Lan Service, including disabling access to such User and Content that You have downloaded through the My-Lan Service. You further understand and acknowledge that You may be exposed to User Material or Content that is inaccurate, offensive, indecent, or objectionable. Termination My-Lan may terminate Your access to all or any part of the My-Lan Service at any time, with or without cause, with or without notice, effective immediately. You may terminate Your use of the My-Lan Service at any time, provided that all provisions of these TOS, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. Indemnification You agree to defend, indemnify and hold harmless My-Lan and its affiliates, subsidiaries and distribution partners and their respective officers, directors, employees and/or agents (collectively, “My-Lan Indemnitees”) from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees) arising from: (i) Your use of and access to the My-Lan Service; (ii) Your violation of any term of these TOS, including any breach of any representation, warranty, covenant or agreement made by You herein; (iii) Your violation, alleged or actual, of any third party right, including without limitation any copyright, property, or privacy right; (iv) any claim that any User Material or Content You uploaded or published on the My-Lan Service caused damage to a third party; or (v) Your gross negligence or willful malfeasance (collectively, “Claims”). You are solely responsible for defending any such Claims, and for payment of losses, costs, damages or expenses resulting from the foregoing to both a third party and to the My-Lan Indemnitees. My-Lan shall have the right, in its sole discretion, to select its own legal counsel to defend the My-Lan Indemnitees from any Claims (but by doing so shall not waive Your indemnity obligations), and You shall be solely responsible for the payment of all reasonable attorneys’ fees incurred by the My-Lan Indemnitees in connection therewith. You shall notify My-Lan immediately if You become aware of any actual or potential Claims, suits, actions, allegations or charges that could affect Your or My-Lan’s ability to fully perform its respective duties or to exercise its respective rights under these TOS. You shall not, without the prior express written approval of My-Lan, settle, dispose or enter into any proposed settlement or resolution of any Claim (whether having been finally adjudicated or otherwise) brought against You, if such settlement or resolution results in any obligation or liability for any My-Lan Indemnitee. This defense and indemnification obligation will survive these TOS and Your use of the My-Lan Services.
